Terms of Service

Last updated and effective: 21 August 2026.

These Terms of Service ("Terms") govern your access to and use of OkupAI, channel management software for short-term rental and hotel operators. By creating an account, accessing, or using OkupAI, you agree to be bound by these Terms.


1. Agreement to Terms; Merchant of Record and Contract Formation

You must be able to form a binding contract and agree to these Terms to use OkupAI. If you are using OkupAI on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to the entity. Purchases completed through the OkupAI checkout are processed by Paddle (Paddle.com Market Ltd. or Paddle.com Inc.) acting as Merchant of Record. You purchase access from Paddle, and the OkupAI product is licensed to you by OKUPAI FZCO. Your offer to purchase is made when you complete the checkout; acceptance and contract formation occur when Paddle sends an order confirmation. Merchant of Record notice: Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders and handles customer service inquiries and returns. See paddle.com for details.

2. Accounts and Eligibility

  • You must provide accurate registration information and maintain the security of your credentials.
  • You are responsible for all activity under your account.
  • You will promptly notify OkupAI of any unauthorized access or security incident.

3. Payment, Taxes, and Refunds

  • Charges are processed by Paddle, the Merchant of Record, to your chosen payment method. Invoices and receipts are provided electronically. Prices may change from time to time.
  • Taxes are calculated and, where applicable, collected by Paddle according to the jurisdiction of the transaction. You are responsible for all applicable taxes, duties, and government charges, excluding OkupAI’s income taxes.
  • By completing checkout, you agree to our Terms & Conditions and Refund Policy and acknowledge that Paddle.com is the Merchant of Record for your purchase.
  • Statement descriptor: charges for purchases may appear on your card/bank statement as “OKUPAI” (via Paddle) so you can recognize the transaction.
  • Pre‑orders: if you pre‑order digital content, you may request a refund for any reason until the content is delivered. After delivery, the standard refund policy applies.
  • Immediate performance: where digital content is made available immediately, by downloading or otherwise beginning delivery, you consent to immediate performance and acknowledge that you lose any statutory right of withdrawal once delivery has begun.
  • Technical issues: if technical problems prevent or unreasonably delay delivery, your exclusive remedy is replacement of the content or a refund of the price paid, as determined by Paddle.
  • Error correction: you can review and correct input errors (e.g., contact details, tax information) during the checkout process before submitting payment. If you notice an error after completing checkout, contact support at office@okup.ai or call +971 52 893 0785 as soon as possible and we will assist where feasible.
  • Fulfillment/activation: after successful payment, Paddle will send an order receipt and we will promptly provide access to your subscription and/or deliver any keys/instructions on a confirmation page and/or by email.
  • Sales tax/VAT refunds: if you are registered for sales tax in the country of purchase, you may be eligible for a refund of the sales tax amount where permitted by law. You must contact Paddle within 60 days of purchase and provide a valid tax code to process such a refund. Requests after 60 days will not be processed.
  • Subscriptions and cancellations: subscriptions renew automatically until cancelled. Unless otherwise stated, fees are billed in advance and are non‑refundable; cancellation takes effect at the end of the current billing period and no refunds are provided for unused periods. Where applicable, price increases will be notified in advance.
  • Trials: certain plans may include a free trial. To avoid being charged, you must cancel before the trial ends. If your payment method cannot be charged on renewal, Paddle may cancel your subscription.
  • Pro+ plan try-for-free offer: during any free-trial or try-for-free period for the Pro+ plan, the communication team feature is excluded unless explicitly confirmed by OkupAI in writing.
  • Accuracy of information: you must ensure your billing and contact information is accurate and up to date. Paddle is not responsible for non‑receipt due to incorrect details supplied by you.

4. Use of the Services

  • You may use OkupAI solely for lawful business purposes related to managing property listings, rates, availability, and reservations.
  • You will not misuse the Services, attempt to gain unauthorized access, interfere with other users, or reverse engineer any part of the platform except as permitted by law.
  • You are responsible for the accuracy of content you submit, including property details, rates, restrictions, and policies.
  • You must ensure that your use complies with all applicable laws and the terms of any third‑party channels you connect.

5. Channel Connections and Third‑Party Services

OkupAI enables connections to distribution channels and property management systems (for example, Airbnb, Booking.com, Expedia, or PMS providers). These are third‑party services governed by their own terms and policies.

  • You are responsible for maintaining active, compliant accounts with connected channels.
  • OkupAI does not control and is not responsible for third‑party services. We do not guarantee acceptance of listings, ranking, visibility, payouts, or channel policies.
  • Data exchanged with third parties may be subject to delays or failures outside of OkupAI’s control. You should verify critical updates (rates, restrictions, availability) directly on the channels.

6. Data, Privacy, and Security

  • OkupAI processes Customer Data to provide and improve the Services in accordance with our Privacy Policy and any applicable data processing agreement.
  • You represent that you have obtained all necessary rights and consents to submit Customer Data and to permit its processing by OkupAI and connected channels.
  • We implement reasonable technical and organizational measures to protect Customer Data; however, no system is completely secure.
  • PCI/Payment data: Paddle acts as the payment processor and Merchant of Record. OkupAI does not store, process, or transmit cardholder data and is scoped to PCI DSS SAQ A; all card data is handled by Paddle.

7. Availability, Maintenance, and Support

We aim to provide reliable service and helpful support. The Services may be temporarily unavailable during scheduled maintenance or due to factors outside our control. Support channels and response times may vary by plan.

Priority Support (Pro+ Plan)

For Pro+ plan subscribers, OkupAI provides priority support with a guaranteed initial response time of two (2) hours for support requests submitted through our designated priority channels. The guarantee applies 24/7 and covers acknowledgment and first‑response triage; resolution times may vary depending on issue complexity.

8. Intellectual Property

  • OkupAI and its licensors retain all rights, title, and interest in the Services, software, and related materials.
  • You grant OkupAI a limited license to host, process, transmit, and display Customer Content solely to provide the Services.
  • You may provide feedback; OkupAI may use feedback without restriction and without any obligation to you.

9. Confidentiality

Each party may access confidential information of the other party. The receiving party will protect such information with at least the same degree of care it uses to protect its own confidential information and will use it only to perform under these Terms.

10. Term, Suspension, and Termination

  • These Terms remain in effect while you use the Services. Either party may terminate for convenience at any time; termination is effective at the end of your current billing period.
  • We may suspend or terminate access immediately for breach, security risk, non‑payment, or unlawful use.
  • Upon termination, your access ends. We will retain Customer Data as required by law and our policies. You may request an export of your data prior to termination where technically feasible.

11. Disclaimers

The Services are provided “as is” and “as available.” OkupAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. OkupAI does not guarantee occupancy, revenue, rankings, or outcomes on any channel.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any loss of profits, revenue, data, or business, even if advised of the possibility. OkupAI’s aggregate liability for claims arising out of or relating to the Services will not exceed the amounts paid by you to OkupAI for the Services in the twelve (12) months preceding the event giving rise to liability.

13. Indemnification

You will defend, indemnify, and hold harmless OkupAI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable laws or third‑party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable at OkupAI’s principal place of business, without regard to conflict of law principles. Any dispute will be brought exclusively in the courts located there, and each party consents to personal jurisdiction. If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident; nothing in these Terms (including this section) affects those rights. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If changes are material, we will provide notice (for example, by email or in‑app). Changes become effective on the stated effective date. Your continued use after the effective date constitutes acceptance of the changes.

18. Fair Sales and Prohibited Use

We are committed to fair, transparent sales practices. We do not engage in deceptive sales tactics. We may refuse, suspend, or terminate access for unlawful, deceptive, or abusive activity, or for use in connection with prohibited or unsupported products under our policies or those of connected platforms and payment providers.

19. Unit Pricing, Billing Cadence and Proration

19.1 Per-managed-unit pricing. Where a subscription is priced by managed unit, the subscription charge is calculated using the applicable per-managed-unit price and the number of managed units associated with the subscription, subject to any minimum quantity, included quantity, tier, or other pricing term disclosed at checkout or in the applicable order.

19.2 Selected billing cadence and advance billing. The Customer selects a monthly or annual billing cadence at checkout or in the applicable order. Unless the checkout or order expressly states otherwise, subscription charges are billed in advance for the selected monthly or annual billing period. An annual subscription is therefore billed for the annual period rather than as twelve monthly invoices.

19.3 Unit and subscription changes; proration. If the Customer adds or removes managed units, changes plan, or changes billing cadence during a billing period, Paddle will disclose at checkout or in the applicable billing flow any immediate charge, credit, effective date, and proration that applies to that change. Charges and credits may be calculated for the remaining portion of the then-current billing period in accordance with the pricing and proration information Paddle presents before confirmation.

19.4 Cancellation. Unless applicable law or the checkout or order provides otherwise, cancellation takes effect at the end of the then-current paid monthly or annual billing period. The Customer remains entitled to use the subscription through that period end, and cancellation does not by itself create a refund or credit for charges already due or paid.

20.1 Scope and acceptance. OKUPAI FZCO (“OkupAI”, “we”, “us”) may offer an in-house customer referral program (the “Program”). The Program is available only after the canonical owner of an active OkupAI customer account activates it in the OkupAI dashboard and accepts the then-current version of this Section 20. Staff members, delegates, external users, and other persons acting for an account may not activate, view, administer, or receive benefits under the Program. A customer that activates the Program is a “Referrer”. A prospective customer attributed to a Referrer is a “Referred Customer”.

20.2 Personal code and link. After activation, OkupAI may issue the Referrer a personal referral code and referral link. The Referrer may copy and share them but may not sell, transfer, sublicense, publish them on coupon-code aggregators, use paid search advertising on OkupAI trademarks, impersonate OkupAI, send unlawful or unsolicited communications, or make statements that are false, misleading, or inconsistent with OkupAI’s current product and pricing information. Referral access and payout controls are not transferable to the Referrer’s staff or delegates. A future partner or affiliate program may be governed by separate written terms and is not created by this Section 20.

20.3 Attribution. A referral link may be remembered in a signed browser or server session for up to 90 days. If the prospective customer enters a valid referral code during signup, that expressly entered code overrides a code remembered from a referral link. Attribution is validated when signup occurs and, once recorded for the new customer account, is immutable. Attribution is available only for active codes and valid new accounts. Self-referrals, duplicate attribution, disabled or invalid codes, retroactive claims, and referrals of an existing OkupAI customer account are not eligible. Clearing cookies, changing browsers, technical limitations, or signing up after the 90-day period may prevent link attribution unless the valid code is entered explicitly. When a valid referral is recognized, the signup page may display the Referrer’s first name or, if unavailable, the Referrer’s customer-account or company display name.

20.4 Referred Customer discount. Subject to these terms, an eligible Referred Customer receives:

  • for a monthly subscription, a discount equal to 20% of the eligible subscription charge for each of the first three monthly billing periods; or
  • for an annual subscription, a discount equal to 20% of the first annual subscription invoice.

The discount applies once to the first eligible subscription for the attributed customer account, has no cash value, may not be combined with another referral attribution or any offer that we identify as non-combinable, and excludes taxes, duties, pass-through charges, refunds, credits, chargebacks, disputed amounts, and non-eligible products or services. Changing cadence, cancelling, failing payment, or reactivating does not restart or extend the discount period.

20.5 Referrer reward. Subject to these terms, the Referrer may earn a reward equal to 20% of Eligible Revenue received from the Referred Customer during the 12-month period beginning on the Referred Customer’s first paid eligible billing period. “Eligible Revenue” means subscription-plan revenue actually received and retained by OkupAI, excluding VAT and other taxes, duties, refunds, credits, chargebacks, disputed or fraudulent payments, pass-through charges, Paddle and other payment-processing fees or reversals, add-ons, usage-based charges, one-time services, free periods, and any other products or services that we identify as excluded. A cancellation, refund, credit, non-payment, downgrade, or chargeback may reduce or reverse a pending or available reward. No reward accrues after the 12-month earning period.

20.6 Hold and payout. Each reward is subject to a 30-day hold beginning when the corresponding eligible payment is received. During the hold, the reward is pending and may be adjusted or reversed. After the hold and any required review, an approved reward becomes available. OkupAI processes payouts manually on a monthly basis. There is no minimum payout threshold. Processing dates are estimates, not guaranteed payment dates. OkupAI may carry an amount into a later monthly run while it completes fraud, sanctions, identity, tax, payment, or compliance checks. Payouts are made only through a method supported and approved by OkupAI. Dashboard figures are informational until a payout is marked paid.

20.7 Tax, identity, and payment information. The Referrer is responsible for determining and paying all taxes, social contributions, duties, and reporting obligations arising from Program rewards. Before payout, OkupAI may require accurate identity, address, tax-residency, tax-identification, bank/payment, sanctions-screening, or other know-your-customer information and supporting documents. OkupAI may withhold amounts when required by law and may delay or decline payout if requested information is incomplete, inaccurate, expired, inconsistent, or cannot be verified. The Referrer must promptly keep this information current.

20.8 Prohibited conduct and anti-fraud review. A referral is ineligible, and related discounts or rewards may be withheld, reversed, or recovered, if OkupAI reasonably determines that it involves self-referral; duplicate, fictitious, automated, collusive, or controlled accounts; recycled payment methods or identities; misleading promotion; unlawful marketing; manipulation of attribution or billing; refund or chargeback abuse; violation of law or these Terms; or conduct intended to obtain a benefit without a genuine new customer relationship. OkupAI may investigate referrals, request evidence, suspend Program access or payouts during review, and offset an invalid reward against future amounts. Nothing in this clause permits an arbitrary refusal to pay a valid accrued reward.

20.9 Records and reporting. The dashboard may show privacy-limited referral counts and, for each referral, the Referred Customer’s customer-account or company display name, billing or referral status, aggregate eligible paid revenue excluding tax, pending and available rewards, and received rewards. OkupAI does not disclose the Referred Customer’s individual contact name, email address, telephone number, street address, invoice details, invoice or payment identifiers, bank details, payment-card data, or other payment credentials to the Referrer. Dashboard data may be delayed, rounded, corrected, or reconciled against OkupAI’s billing and payment records. OkupAI’s records control in the event of a discrepancy, subject to correction of demonstrated error. A Referrer should report a suspected error to OkupAI support within 60 days after it appears.

20.10 Changes, suspension, and termination. OkupAI may modify the Program prospectively, including reward rates, discount terms, eligibility, excluded revenue, procedures, or availability, by posting revised terms or giving reasonable notice where required by law. A material change applies only after its effective date and does not reduce a valid reward already accrued under the applicable Program version, except to correct error, fraud, refund, chargeback, or legal non-compliance. OkupAI may suspend or terminate a Referrer’s participation for breach, fraud risk, sanctions or legal requirements, account suspension, or Program discontinuation. The Referrer may stop sharing the code at any time. Program termination does not create a right to future rewards for payments received after the applicable earning period or termination effective date, but valid accrued rewards remain subject to the hold, review, adjustment, tax, KYC, and payout provisions above.

20.11 No agency or employment. Participation does not create an employment, agency, franchise, fiduciary, joint-venture, brokerage, or partnership relationship. A Referrer has no authority to bind OkupAI, negotiate on its behalf, collect money for it, or make warranties about it.

20.12 Availability and errors. OkupAI does not guarantee that the Program, a referral link, browser persistence, reporting, or a particular payout method will always be available or error-free. We will use reasonable efforts to correct verified attribution or reporting errors, but we do not accept retroactive attribution where no valid code or link attribution was recorded at signup.

20.13 Contact. Questions or disputes about the Program should be sent to the support contact listed in these Terms and should include the Referrer’s customer-account details and the relevant referral or payout period, but not a Referred Customer’s password or full payment-card information.
